Terms and Conditions

1 LEGAL FORM
The Ambassadors Club is incorporated as “AMBC International Limited Partnership” in the United Kingdom. By joining, the member also becomes a member of the regional and national clubs, to which all claims will be transferred if the international club is dissolved. In the event of dissolution of the national club or a change in the legal form, membership will be transferred unless the member objects in writing within 14 days of notification of the transfer.

2 MEMBERSHIP
Membership takes effect on the day of admission as a member. Admission to the Ambassadors Club is made upon application or invitation and by decision of the club management. There is no entitlement to membership, and membership can be terminated at any time by the club without reason. The club will give its members at least 14 days’ notice, or less if it is not reasonably practicable to give 14 days’ notice, with regards to any change to the membership conditions. It lies in the obligation of each member to ensure that their contact details are up to date. Members of the club must ensure any changes to their postal or email address or telephone number are communicated to the club. The club will not be responsible for any missed communications that are not received due to outdated contact details on file.

3 MEMBERSHIP CATEGORIES
The member applies for membership in the relevant category. Members of the “Young Entrepreneur” category receive special rates until their 35th birthday. Upon reaching their 35th birthday, membership will be converted into a “Personal Membership” at the end of the previously paid period.

4 JOINING FEE / ANNUAL MEMBERSHIP FEE
The joining fee and the annual membership fee apply according to the current price list and are exclusive of VAT. The membership fee must be paid for 12 months in advance. A membership may be suspended or paused for more than 2 months (e.g. in the case of a longer stay abroad). Members will be informed of any change in fees by email. A change in fees will apply to existing members from the next billing period. Members whose payment is in arrears are excluded from events and the participation or use of promotions until the arrears are balanced. This does not release the member from paying for the past, possibly unused months.

5 CONTRACT DURATION / TERMINATION / EXCLUSION
Membership is valid for 12 months after admission to the club, and is extended by this same period, unless the member terminates membership by mail 3 months before the end of the contract. The club management can exclude members from the club at any time and without stating a reason, provided the club management believes that the member violates the Membership Agreement, damages the reputation of the club, the behavior of the member is not in line with the expectations of the club management or the member does not treat other members and employees of the Ambassadors Club and partners with the due respect. The judges’ decision is final and the decision of the club management is definitive In the event of exclusion, any claim to a proportional reimbursement of any fees paid is cancelled. Membership ends automatically when the member dies or – in the case of corporate memberships – through the liquidation of the company. In this case, there is a right to reimbursement of membership fees for the unused months up to a maximum of 6 months.

6 CORPORATE MEMBERSHIP
Corporate membership allows membership for up to five natural persons from a company, authority or diplomatic mission. The name, contact details and a copy of the passport must be communicated to the club at the beginning of the membership year. The membership cards are not transferable. In the event of a change or transfer of membership within the company, authority or mission, a one-time processing fee of AED 1200 (plus VAT) will be charged.

7 MEMBERSHIP CARDS
Membership cards are non-transferable and cannot be used as credit cards. Use of the membership cards after the termination of membership is not permitted. In the event of loss of the membership card, an administration fee of 800 AED (plus VAT) will be charged to the member for a replacement card. We reserve the right to refuse entry and or event participation without a membership card.

8 EVENTS AND TRIPS
Participation in events and travel is voluntary. Members will be invited to the respective events by email. In addition to courtesy events, the club also provides chargeable events, the participation fee of which is listed in the invitation. Participation fees are payable in advance of the event and are non-refundable. Unless otherwise noted, members are responsible for their own costs for food and beverages. Separate terms of payment and cancellation apply to travel. In the case of a trip abroad, the member is obliged to comply with the travel or entry regulations applicable to them, as well as medical regulations and to organize the necessary entry visas / insurance independently.

9 FAMILY MEMBERS AND EXTERNAL GUESTS
Family members who do not have their own membership can participate in individual events, provided this option is mentioned on the invitation. Participation of people under the age of 21 is not permitted, unless specifically stated otherwise. Any costs for catering, entertainment, tickets and / or travel expenses or any other fees must be paid in advance by the member. In individual cases, a spouse / family member can represent the club member at an event. External guests are generally not permitted and require the approval of the board.

10 DATA PROTECTION AND PRIVACY
The Ambassadors Club will handle any personal data it collects from its members as part of their membership in accordance with the club’s Privacy Policy. All members are obligated to treat the privacy and personal data of other members as strictly confidential and not pass them on to third parties and / or use them commercially. At events, video, film and sound recordings of participants may be made and used by the club for marketing purposes as well as online and offline.

11 LIMITATION OF LIABILITY
The member releases the club from any liability and other claims, except in the case of willful gross negligence. The liability of external service providers such as tour operators, airlines, hotels, event agencies, restaurants and other third parties are not affected by this.

12 FORCE MAJEUR

The club shall be nor liable for delay in performing, or failure to perform any of its obligations under this Agreement if such delay or failure results from events, circumstances or causes beyond its reasonable control such as weather conditions, natural events, official instructions, strike, illness, riots, pandemics or when the security of members and / or employees could be compromised.

13 MEDIA AND INTERNET

During events, travels, excursions, and meetings, photographs and videos may be taken and subsequently made available to other members and the public through the internet, social media, publications, television, and other media channels. Each member and event participant irrevocably agrees that these photographs and videos can be freely and indefinitely used by the club for internal, public, and commercial purposes, even beyond the duration of their membership.

14 GENERAL PROVISIONS

We may at any time assign, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any or all of the club’s rights and obligations under this Agreement. This Agreement constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or verbal, relating to its subject matter. Each party acknowledges that in entering into this Agreement it does not rely on, and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this Agreement. Each party agrees that it shall have no claim for innocent or negligent misrepresentation based on any statement in this Agreement. If any provision or part-provision of this Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of this Agreement.

15 APPLICABLE LAW

When participating in events / travel, each member is obligated to comply with the local laws applicable to them or, if necessary, to obtain the necessary permits. This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with Common Law. The parties irrevocably agree that the courts of the United Kingdom have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Agreement, event participation or its subject matter or formation.
